Flora Growth Corp. (NASDAQ: FLGC), A Company Revolutionizing the Plant-Based Wellness and Lifestyle Industry

  • Flora Growth has been building a design-led collective of plant-based wellness and lifestyle brands
  • Through the work done by its pharma division, the company earned over $31.5 million in gross proceeds in the year ended November 2021
  • The company still maintains its revenue guidance projection of $35-45 million for 2022, attributed mainly to product diversification initiatives, strengthening its supply chain, and adoption of cost-effective cultivation practices

Since its inception, Flora Growth (NASDAQ: FLGC) has remained committed to building a design-led collective of plant-based wellness and lifestyle brands. This objective has defined Flora Growth’s three central pillars- wholesale cannabis, pharmaceutical cannabis, and CPG cannabis brands. Moreover, it has given the company and its management a platform to interact with and exchange ideas with other players in the plant-based wellness space, even as it seeks to grow its revenue through acquisitions and strengthening its distribution network.

Specifically, Flora Growth’s pharma division has been a leader in its sector. Headed by Dr. Annabelle Morgan-Manalo, a renowned neuroscientist, this division aims to understand the applicable modalities and formulations of cannabinoid-based products that offer the most bioavailable and efficient experiences for markets the world over. Through its work, the company has achieved significant growth, earning over $31.5 million in gross proceeds in the year ended November 2021.

The company’s President and Chief Executive Officer (“CEO”), Luis Merchan, has been keen to share his optimism about its future while acknowledging the strides that his company and each of its divisions have made so far. This was well reflected in the just-concluded Benzinga Cannabis Capital Conference, which ran from April 20-21, 2022, in Miami, where he spoke, as well as the Plant Medicine Week conference that was held from April 5-8, 2022, in Malta, where he was the keynote speaker (https://cnw.fm/Znuqg).

Flora Growth still maintains its revenue guidance projection of $35-45 million for the 2022 fiscal year, potentially a 4X growth from 2021. According to the company’s management, this growth will be primarily attributed to its product diversification initiatives, strengthening its supply chain, and its adoption of cost-effective cultivation practices (https://cnw.fm/QTnbx).

As it continues to curate a collection of consumer brands for key market segments in its space, Flora Growth continues to push the envelope from a research and marketing standpoint, showcasing opportunities in the plant-based wellness and lifestyle space, for which it is the arguable leader.

Going further into 2022, Flora seeks to maintain the momentum it started in 2021, from opening brick and mortar stores to distribution agreements with mainstream retail establishments. The company also seeks to further its market reach, as evidenced by its venture into the Colombian market through Tropi, the country’s largest food and beverage distributor.

Flora Growth Corp. (NASDAQ: FLGC) Bolsters its Board of Directors following Tim Leslie’s Addition and Luis Merchan’s Appointment as Chairman

  • Luis Merchan, Flora Growth’s CEO, will serve as the new Chairman of the Board
  • Tim Leslie, the Chairman of the company’s Advisory Board, will serve on its Board and audit committee
  • Flora Growth’s management is confident that these changes will position it as a U.S-based issuer while increasing its access to U.S-based investment

Since the beginning of 2022, Flora Growth (NASDAQ: FLGC) has been making strategic moves that strengthen its human resources and reinforce its executive team.

The company kicked off the year with the appointment of Tim Leslie as the Chairman of its newly formed Advisory Board (https://cnw.fm/suiqd).  Later, Flora Growth appointed Derek Pedro, a world-renowned cannabis genetics and cultivation expert, as an advisor to its Cosechemos cultivation facility (https://cnw.fm/w5nCn).

Two more appointments were made after that, starting with Joël Reyes as Senior Vice President (“SVP”) of Global Operations and Jessie Casner as the company’s new Chief Marketing Officer (“CMO”) (https://cnw.fm/Gz7Ez).

In a move that sought to take the company even further, on March 17, 2022, Flora Growth announced changes to its Board of Directors. Tim Leslie, the Chairman of the Advisory Board, was added to the Board of Directors (“the Board”) and audit committee. In addition, Luis Merchan, Flora Growth’s Chief Executive Officer (“CEO”), took over from Bernie Wilson as the Chairman of the Board. Mr. Wilson will remain in an advisory capacity for the remainder of the year and will be integral in providing strategic guidance on capital markets and international expansion (https://cnw.fm/NywYv).

“I am honored that our Board has entrusted me with this role, and I believe it is a testament to what we have built together thus far,” noted Luis Merchan.

“Our Board has been incredibly supportive to date while always ensuring business decisions are in the best interest of our shareholders- and I am looking forward to continuing to work closely with them in this role,” he added.

Luis Merchan has been instrumental in expanding Flora Growth’s reach within the United States and abroad. He has moved the company from the development stage to a full-scale international distributor with operations in over 12 countries worldwide. In addition, under his leadership, Flora Growth has completed several mergers and acquisitions (“M&As”), all of which have set the company up for rapid growth.

The company will continue to benefit from Mr. Leslie’s insights and guidance as it advances its rapid global expansion. He has vast experience in the industry, including two decades at Amazon, which will be instrumental for Flora Growth’s expansion going forward.

Flora Growth is confident that its Board’s changes will further position it as a U.S-based issuer. It is also optimistic that the move will increase its access to U.S-based investment.

420 with CNW — Thai Government to Distribute Marijuana Plants for Home Cultivation

The government in Thailand has announced that it plans to distribute one million free marijuana plants in June as it marks the commencement of a new law permitting the cultivation of marijuana at home. This announcement was made by the nation’s health minister.

Anutin Charnvirakul, Thailand’s health minister, took to Facebook to make his announcement on May 8, 2022. He said that the government wants marijuana to be grown like any other household crop.

The rule he referred to is expected to take effect on June 9, 2022. This new legislation paves the ground for individuals to notify the authorities in their locality about their need to start growing cannabis at home. The plants must meet the quality requirements for medicinal marijuana, and the person growing those plants should use them exclusively for therapeutic purposes and not for commerce. Those interested in growing marijuana for sale can apply for additional permits from the authorities.

The soon-to-be implemented law marks another step in Thailand’s journey to promote the cultivation of marijuana like any other cash crop. The World Bank estimates that approximately 33% of the population in the country is employed within the agriculture sector, so adding marijuana to the list of crops farmers can grow would be a boon for the sector.

It should be noted that the broader southeast Asian region is famous for its stringent laws against illicit drugs, such as marijuana. However, Thailand broke ranks and legalized medicinal marijuana back in 2018. The country has also eased its other laws related to cannabis in general.

For example, cannabidiol and hemp in general were legalized for use as food and cosmetics ingredients. As a result there has been a proliferation of companies marketing cosmetics and beverages containing these ingredients.

In another post made two days after his post announcing the free marijuana plants, Anutin also mentioned that locally registered companies that had the appropriate paperwork were free to begin selling marijuana products as long as the THC content didn’t exceed 0.2%. THC is the compound that gets cannabis users “high.”

Anutin added that marijuana commerce will make it possible for the country to earn at least 10bn baht ($288 million) annually from this industry.

Kitty Chopaka, a marijuana entrepreneur based in Bangkok, indicated that in her view, this upcoming legislation is intended to make medical cannabis part of the healthcare system in the country. According to her, one must have a prescription allowing the use of medicinal marijuana in order to be permitted to grow cannabis at home.  She further indicated that while recreational adult-use cannabis isn’t legal, people are bound to smoke the substance and the government won’t be able to prevent that from happening.

With Thailand due to begin commercial sales of medical marijuana, more of the world looks set to open to international cannabis sector actors such as Flora Growth Corp. (NASDAQ: FLGC), one country at a time.

420 with CNW — Tips to Help You Get Your Cannabis Firm Ready for Sale

As hopes rise that the United States could soon legalize marijuana federally, many cannabis business owners are dreaming of the upcoming M&A frenzy that could provide a profitable way out of the startups they have founded. However, experts point out that only those marijuana companies that were properly prepared for eventual sale will attract the best deals.

We discuss below some tips that can help a cannabis company prepare itself for sale.

Mind your people, papers and profits

To prepare your cannabis business for sale, pay close attention to the employees at the firm. Most people looking to buy a company aren’t interested in running the business themselves, so a big plus is to have a top-notch management team that will steer the company once it changes ownership.

The paperwork of the company, especially on matters of compliance, is important too. Cannabis laws vary from one jurisdiction to another, and there are federal laws to contend with as well. Ensuring that papers are in order will be beneficial to the valuation of the company and attract better deals.

Profits, or a path to profitability, is key in M&A discussions. For example, if your business is the runaway market leader in your state, potential buyers, especially those struggling to get a significant share of the market, may jump the chance to do business with a company that is struggling to capture a significant share of the market.

Hire the right accountant

Your best bet in preparing your cannabis business for sale is to hire an accountant who has impressive experience working with marijuana companies in your state or jurisdiction. Such an accountant will be familiar with all the applicable tax and business laws. They will also keep you abreast each time a change is made to any existing marijuana laws. In this way, you will avoid the unpleasant surprise of having a major loophole uncovered by the team of a potential buyer as they scrutinize your paperwork.

Take your time

Don’t call an attorney and accountant to get your company ready for sale in a few weeks; nothing good will come of such rushed efforts. Instead, start preparing early, even before interest in purchasing your business has been shown.

About half a year is a good estimate of how much time is needed to prepare a cannabis business for sale. During this time, every aspect of the business will be analyzed and put in place so that potential buyers will not have anything to jump on and drive the valuation down.

It isn’t uncommon to find leading industry companies such as Flora Growth Corp. (NASDAQ: FLGC) with growth strategies that include mergers and acquisitions among the options to consider. Cannabis startups need to think with an exit point mentality in mind, so that when a buyer comes knocking, they are ready to negotiate from a point of strength.

420 with CNW — UNM Study Suggests Cannabis Can Combat Fatigue

According to a data analysis conducted by a team of researchers at the University of New Mexico, cannabis flower can do a much better job of boosting your energy levels than other common substances such as energy drinks or coffee. Those substances are traditionally used to get a lift when energy levels are down.

The team looked at the real-time data availed by medical marijuana users who have the Releaf app, an application through which cannabis users can track the marijuana products that they use and the effects that those products trigger.

This study is important because many health conditions induce fatigue and a number of conventional medications also trigger feelings of constant fatigue in the patients using those medicines. The pressures of daily life can also cause people to be fatigued, which explains why many people down a cup of coffee as soon as they wake up in order to boost their mental and physical alertness. Energy-boosting beverages, pills and other products are available on the market to address the needs of people who want an energy boost.

However, the findings of the UNM study show that a better bet may be cannabis flower.

To arrive at this conclusion, the researchers crunched the numbers on the feedback left by 1,224 users of the Releaf app. The team analyzed a total of 3,922 self-administered cannabis flower use sessions. Dr. Jacob Vigil, co-author of the study, explains that the data indicated that people get an almost instantaneous boost of energy while smoking marijuana.

The team found that regardless of the cannabis product used, such as those high in THC or high in CBD, there was a beneficial impact on the degrees of fatigue experienced by the users of the app.  The researchers say that their observation that all cannabis products reduced fatigue to a degree suggests that other phyto compounds, including terpenes and minor cannabinoids, could be responsible for alleviating fatigue. This creates a future possibility that treatments using cannabis products could become personalized with providers tweaking the formulation to suit the specific needs of a user.

This research also debunks another myth perpetuated by prohibitionists that cannabis makes people lazy. In contrast, the substance has been found to provide an energy boost that allows people to exercise and be productively engaged.

The UNM team is, however, quick to note that people may have to try different products from different manufacturers, such as Flora Growth Corp (NASDAQ: FLGC), before they find the one that provides optimum results in fighting fatigue. This is because our bodies are different and what may energize or stimulate one person may not have the same effect on another person.
