As part of the transaction, Kase Farma has entered into an intellectual property licensing agreement with Starling. This agreement allows for a technology transfer in which intellectual property and technology licensed under this agreement will be used and deployed in HTC’s Canadian facility. Total consideration payable to Starling pursuant to the Transaction is US$900,000 in cash and the issuance of 8,000,000 units of HTC and 2,000,000 bonus units of HTC. Each unit is comprised of one common share and one half of one common share purchase warrant. Each warrant will be exercisable to acquire one common share at a price of C$0.70 for a period of 36 months from the completion of the transaction. Each bonus unit is comprised of one common share and one half of one common share bonus purchase warrant of HTC. Each bonus warrant shall be exercisable to acquire one common share at a price of C$1.00 for a period of 36 months from the completion of the transaction. The units and bonus units (collectively, the “compensation units”) are subject to legends restricting their transfer and which will provide that: (i) one-third of the compensation units shall become freely tradeable 12 months after the completion of the transaction; (ii) one-third of the compensation units shall become freely tradeable 18 months after the completion of the transaction; and (iii) one-third of the compensation units shall become freely tradeable 24 months after the completion of the transaction. In addition, HTC will be paying compensation to Hillcrest Merchant Partners Inc., an arm’s length party, in the form of units, for the development, negotiation and finalization of the ancillary agreements to the SPA. All common shares issued pursuant to the transaction and as compensation, are subject to a hold period under applicable securities law until May 29, 2020.

420 with CNW – Chicago Passenger Caught Stealing from Marijuana Amnesty Box

Last week on Wednesday, an incoming traveler at Midway Airport stole marijuana from one of the marijuana amnesty boxes situated at the facility, said the Chicago Police.

The cannabis amnesty boxes were installed a few weeks ago, and they coincided with adult-use marijuana legalization in Illinois. The amnesty boxes are for passengers who are boarding their flights at Midway or O’Hare airports to dispose of the unused marijuana products since no one is allowed to board a plane with any shred of weed.

According to local media sources, during routine checks on Wednesday evening around 8 p.m., the police noticed that marijuana was missing from one of the amnesty boxes. When they checked the surveillance footage near the location of the box, the police saw a man reach inside and remove the weed several hours before. The police believe that the man was an incoming passenger.

During an earlier security check, one of the passengers was found with the weed and was forced to leave it behind, thus placing it in the amnesty box. It is this weed that another passenger stole. As of last Friday, they had not identified the man, but authorities say that it shouldn’t be possible for someone to access the contents of the amnesty boxes.

The chief of communications with the Chicago police, Anthony Guglielmi, said that the marijuana amnesty boxes were placed at the airports in Chicago to make sure that travelers complied with the federal and local state laws of their destinations. Guglielmi also noted that in the coming weeks, they would replace the temporary amnesty boxes with other boxes to prevent theft, making them secure and hinder anyone from looting their contents.

The Department of Aviation in Chicago and the Chicago police were tasked with overseeing, emptying, and discarding the content found inside the 12 boxes.

The TSA clarified that it is legal to have marijuana at the airports, but it is unlawful to fly with drugs since the federal authorities regulate the airspace, and marijuana is federally illegal.

Speaking to local media at the beginning of the month, the TSA spokesperson said that the agency does not search for marijuana-infused products during security checks across the U.S., but TSA agents are under obligation to report if they discover any drugs or substances that are illegal as per the federal law. After the report is made, local police determine the next course of action.

Other airports that have installed amnesty boxes include McCarran International Airport in Las Vegas and Colorado Springs Airport in Colorado.

420 with CNW – Mexican Lawmakers Get Set to Legalize Pot in April

As the legislature resumes their sessions next month in Mexico, lawmakers are preparing to push for marijuana reform since they have been seen circulating an amended bill amongst themselves. The amended legislation seeks to legalize and regulate cannabis sales within Mexico.

The amended legislation was filed by the Justice and Health committees. It would allow possession of a maximum of 28 grams of marijuana per adult and cultivation of a maximum of six plants for personal use. It also has a provision allowing people to apply for a license to carry more than 28 grams of weed but not above 200 grams.

Next week Senator Ricardo Monreal Avial will be holding a meeting with the Interior Secretary Olga Sanchez Cordero and the legal advisor to the president, Julio Scherer, to discuss the marijuana reform bill since the proposed measure is not final, and he considers it as a next step process.

The amended legislation has a provision where people found carrying marijuana ranging from 28 grams to 200 grams would be charged a fine of about $560. Stringent measures would be taken against adults found possessing more than 200 grams of weed.

A new regulatory body, the Mexican Cannabis Institute, would be created to issue business licenses and create rules for the marijuana market. The legislation also aims to promote social equity by prioritizing people from areas impacted by prohibition when issuing cultivation permits.

According to Milenio, the Mexican Marijuana Institute would also be allowed to fund research on the cultivation of marijuana, which is to be sold commercially through grants.

The amended bill comes a year plus after the Supreme Court in Mexico passed a ruling to end federal laws prohibiting cultivation and possession of marijuana deeming it unconstitutional. Since then, lawmakers have been working to establish a scheme allowing recreational marijuana in the country.

The Senate made progress with the bill by holding several public gatherings to educate the public, and in one of the meetings, they featured a former White House drug czar, but the legislature did not meet the court-appointed deadline for the approval of the legislation, which was October 2019; therefore, they requested for an extension. The Supreme Court extended the deadline to April 30, 2020.

The new bill has some minor changes, such as amending the business licensing scheme where it classifies it into five types of licenses. These include cultivation, transformation/processing, marketing, exports, and imports as well as research.

Montreal said that some leaders are not in favor of the measure, but the lawmakers are hoping to legalize marijuana before the deadline.

420 with CNW – Missouri Licenses 192 Medical Cannabis Dispensaries

One hundred and ninety-two dispensaries were issued with permits by the state of Missouri, allowing them to sell medical marijuana to patients. Of the 192 dispensaries, eight are located in Springfield City.

Missouri has eight Congressional districts, and each of them was issued with 24 licenses by the state Department of Health and Senior Services. The department indicated that the recipients of the permits met the requirements of the program and that they scored the highest during the evaluation of the license applicants. There were more than 1,200 applications for dispensary licenses within the state.

Medical marijuana was legalized in Missouri in 2018, but since cannabis must be grown at farms that have been tested and approved in the state, marijuana sales are expected to start this summer.

The Kansas City Star reported that as of Tuesday of last week, the health department had approved medical marijuana identification cards to 29,457 patients, and 820 caregivers.

The patients are allowed to apply for medical marijuana cards once they receive certification from their physician. The list of qualifying conditions includes cancer, epilepsy, glaucoma, migraines, chronic pain, HIV or AIDS, debilitating psychiatric disorders, and any other terminal illness.

In December last year, the Department of Health and Senior Services in Missouri issued the licenses for testing, transporting, and growing facilities.

Medical marijuana dispensary applicants had to pay a non-refundable application fee of $6,000 and an annual license fee of $10,000. Any marijuana business can possess a maximum of 5 dispensary permits, three cultivation licenses, or three manufacturing permits.

Speaking to the media, Bianca Sullivan, the owner of Fresh Green, said that her company won two dispensaries and one would be located in Kansas City while the other in Lee’s Summit.

Sullivan said that she was jumping up and down due to happiness and eventually jumped into the arms of her husband.

Janette Hamilton is the owner of TriCept Wellness, which is based in St. Louis. She said that she was devastated after she got the news that the regulators had rejected the application from her company. She was frustrated because her company’s score was 16th in the 1st Congressional District; however, the regulators selected other applicants with lower ratings and awarded them dispensary permits.

The state did not explain why her company was rejected, said Hamilton.

Applicants for dispensary permits must be residents of Missouri and must present a one-year proof of residency. The business must be owned by people who have been residents of Missouri for at least one year and have no resident privileges in other states. People who have been convicted of drug-related crime cannot own or participate as an employee. The license applicants must also submit a statement showing that all owners have submitted fingerprints and have undergone a criminal background check within the last six months.

420 with CNW – Virginia Lawmakers OK Marijuana Decriminalization Bill

On Thursday, Virginia Senators passed a bill decriminalizing marijuana within the state. The legislation removes the threat of imprisonment for simple marijuana possession.

The measure was approved through a voice vote by the Senate Judiciary Criminal Law Subcommittee. The panel debated other measures that were adopted into the passed marijuana legislation, such as the expungement of criminal records and decriminalization proposal.

The subcommittee approved the measure irrespective of the protests from the state chapter of the ACLU. The ACLU argued that the legislation did not protect the people of color from being caught up in the war against drugs and said that they would prefer to wait until the broad legalization of marijuana is achieved.

Although other supporters of the criminal justice reform are in favor of proceeding with certain amendments, they still shared their concerns about the limitations of SB 2. Individuals found guilty of simple possession are liable to a civil penalty, which is punishable by a maximum fine of $50. However, according to the current policy, the same charge attracts a fine of $500 and an additional 30 days in jail.

The legislation would also remove the possession threshold from half an ounce to one once for what is referred to as “intent to distribute.” The definition of hashish would also be removed from state law, and it would be treated as marijuana flower.

Since an expungement provision is in other legislation that has advanced through the Senate, the Senators removed its language from the bill before it was approved. The proposed penalties against juvenile offenders were also reduced.

The subcommittee also agreed to integrate a separate decriminalization bill with a three-tier scheme of offenses, first, second, and third, into SB 2. The measure advancing to the Senate Judiciary Committee stipulates that an offender would be charged a fine of $50 irrespective of the tier.

The Attorney General, Mark Herring, together with the Virginia NORML, testified in favor of the legislation.

Speaking to the media, the Executive Director of Virginia NORML, Jenn Michelle Pedini, said that the panel’s vote is historic and a step in the right direction. Pedini further noted that the lawmakers’ decision to advance the measure is welcome since the state’s marijuana laws have been lagging behind public opinion.

Pedini further said that marijuana criminalization is not solved by decriminalization since decriminalization does nothing to ease the impact of the war against drugs. Therefore, to regulate recreational marijuana and undo the harms of war against drugs, the Commonwealth must swiftly legalize marijuana.

At the beginning of January, during his annual State of the Commonwealth speech, Virginia Gov. Ralph Northam included decriminalization in his policy. He said that leaders need to take a look at the criminal justice system to ensure that people are being treated fairly and that the taxpayers’ money is being used wisely.

Herring is in support of decriminalization, which he believes is a step towards broad marijuana legalization. He is also vying for the governorship in 2021. Last month, Herring organized a summit where officials in legal marijuana educated the lawmakers about regulatory challenges and opportunities. During the summit, Herring said that he would support the governor’s push for comprehensive marijuana reform.
